Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a binding agreement between BRONZE DEVELOPMENTS LTD ("Company," "we," "us," "our") and you ("Client," "you," "your"). By accessing our website, using our services, or engaging in any business with BRONZE DEVELOPMENTS LTD, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use our services. Your continued use of our services constitutes acceptance of these Terms.

2. Services Provided

BRONZE DEVELOPMENTS LTD provides software development services including custom application development, web development, mobile development, cloud solutions, and technology consulting. The scope of services will be defined in individual engagement letters or contracts.

All services are provided on an as-is basis. We make no warranties, express or implied, regarding the results of our services.

3. Fees and Payment

Fees for services will be specified in a written engagement letter or contract. Unless otherwise agreed:

• Invoices are due upon receipt
• Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law
• Expenses incurred in providing services will be billed separately
• Additional services requested beyond the scope of the engagement will be billed at our standard rates

4. Engagement Duration

Engagements begin on the date specified in the engagement letter and continue until completion or termination. Either party may terminate an engagement with written notice as specified in the engagement letter.

Upon termination, the Client will be responsible for payment of all fees and expenses incurred up to the date of termination, plus any applicable termination fees.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information disclosed during the engagement, except as required by law or as otherwise agreed in writing.

We are happy to execute standard Non-Disclosure Agreements (NDAs) to protect your confidential information.

6. Intellectual Property

BRONZE DEVELOPMENTS LTD retains all rights to methodologies, tools, frameworks, and pre-existing intellectual property developed prior to or independently of the engagement. All work product created as part of the engagement is owned by the Client, subject to our rights to pre-existing materials.

Clients may not reproduce or redistribute our methodologies or tools without our prior written consent.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VANTAGE CONSULTING SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunity
• Damages arising from the Client's implementation or use of recommendations
• Any damages arising from causes beyond our reasonable control

Our total liability for any claim arising under these Terms shall not exceed the total fees paid to us in the 12 months preceding the claim.

8. Warranty Disclaimer

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, VANTAGE CONSULTING MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING OUR SERVICES. WE DISCLAIM ALL WARRANTIES INCLUDING:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that services will be uninterrupted or error-free
• Warranties regarding the results or benefits of our services

9. Indemnification

Client agrees to indemnify and hold harmless BRONZE DEVELOPMENTS LTD from any claims, damages, or expenses arising from Client's use of our recommendations, services, or any violations of these Terms.

10. Client Responsibilities

Client is responsible for:

• Providing accurate and complete information
• Granting necessary access to systems and personnel
• Implementing recommendations in accordance with our guidance
• Complying with all applicable laws and regulations
• Protecting proprietary information

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflicts of law provisions.

12. Dispute Resolution

Any disputes arising under these Terms shall first be subject to good faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the International Chamber of Commerce.

13. Entire Agreement

These Terms, together with any engagement letter or contract, constitute the entire agreement between the parties and supersede all prior negotiations, understandings, and agreements, whether written or oral.

14. Modifications to Terms

BRONZE DEVELOPMENTS LTD reserves the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services constitutes acceptance of modified Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
